By accessing this Website, registering an account, placing an order, purchasing goods or using any other services offered through this Website, you confirm that you have read, understood and agreed to be bound by these Terms and Conditions.
If you do not agree to these Terms and Conditions, you must not continue to use the Website or place an order.
1. Scope
These Terms and Conditions apply to:
-
your access to, browsing of or use of this Website;
-
the purchase of goods or services through this Website;
-
the creation or use of a user account;
-
participation in promotions, subscriptions, reviews or other interactive features of this Website; and
-
any other relationship between you and us arising from this Website, our goods, orders or services.
These Terms and Conditions, together with the Privacy Policy, Shipping Policy, Return and Refund Policy and any other rules expressly incorporated into them and published on this Website, constitute the agreement between you and us.
If there is any conflict between these Terms and Conditions and specific terms shown on a product or promotional page, the relevant specific terms shall apply. However, no provision shall exclude or restrict any consumer right where such exclusion or restriction is prohibited under Hong Kong law.
2. Contracting Party
Orders and transactions concluded through this Website are processed by the following Hong Kong company:
YI KA INTERNATIONAL TRADE CO., LIMITED
Unless expressly stated otherwise during checkout, the Company is the seller of the relevant goods or services and the recipient of payment.
We may engage third-party payment service providers, warehouse operators, carriers, fulfilment providers or customer service providers to assist with the processing and fulfilment of transactions. This does not exclude or limit our statutory responsibilities.
3. Eligibility to Use the Website
You represent and warrant that:
-
you have reached the minimum age required in your country or jurisdiction to enter into a legally binding contract;
-
all information you provide is true, accurate, complete and up to date;
-
you will not use the Website in a fraudulent, unlawful or unauthorised manner;
-
you are authorised to use the payment method provided when placing an order; and
-
you purchase goods for lawful purposes.
If you use the Website on behalf of a company or other organisation, you represent that you have authority to accept these Terms and Conditions on behalf of that organisation.
4. User Accounts
Registration of a user account may be required for certain Website features.
You are responsible for keeping your login details secure and for activities carried out through your account.
If you become aware of any unauthorised use of your account, you must contact us immediately at info@fawnstech.com.
To the extent permitted by law, we may restrict, suspend or close an account where we have reasonable grounds to believe that it is connected with fraud, misuse, false information, unauthorised payments or any other breach of these Terms and Conditions.
5. Product Information
We take reasonable steps to ensure that product names, specifications, images, colours, sizes, features, availability and prices are accurate.
Due to differences in screen displays, lighting conditions during photography, production batches or reasonable manufacturing tolerances, the actual colour or appearance of a product may differ slightly from images shown on the Website.
We will not intentionally provide false product descriptions, conceal material information or accept payment where there is no reasonable prospect of supplying the goods.
Hong Kong’s Trade Descriptions Ordinance applies to both physical and online traders and prohibits, among other matters, false trade descriptions, misleading omissions, bait advertising, bait-and-switch practices and the wrongful acceptance of payment. Further information may be available from the Hong Kong Customs and Excise Department.
If there is any inconsistency between a product page and these Terms and Conditions, the product descriptions, quantities, prices and specifications expressly confirmed in the order shall prevail.
6. Prices, Taxes and Currencies
-
The currency displayed at checkout shall apply.
-
Unless stated otherwise, product prices may not include import duties, local sales taxes, VAT, customs clearance fees or other charges imposed at the destination.
-
You are responsible for import taxes and other charges imposed in the destination country or region unless checkout expressly states that we will bear such charges.
-
If the currency of your payment card differs from the billing currency, your bank or payment provider may carry out a currency conversion and charge applicable fees. Exchange rates and charges are determined by the relevant provider.
-
Where a price, discount or product information is clearly the result of a significant technical error, we may cancel the order before dispatch and refund any amount already received. Orders already dispatched will be dealt with in accordance with applicable law.
7. Formation of Contract and Acceptance of Orders
By placing an order, you make an offer to purchase goods from us. Submission of an order does not in itself mean that we have accepted it.
An order acknowledgement merely confirms that we have received your order.
Unless applicable law provides otherwise, a contract shall be formed at the earlier of the following times:
-
when we send you a dispatch confirmation; or
-
when we expressly notify you that your order has been accepted.
We may reject or cancel an order for legitimate reasons, including where:
-
the product is unavailable;
-
the price or product information is clearly incorrect;
-
payment has not been authorised;
-
delivery to the address provided is not possible;
-
the order triggers a reasonable fraud, anti-money laundering or security review;
-
you have breached these Terms and Conditions; or
-
applicable laws, authorities, payment providers or card networks require the transaction to be stopped.
If we cancel an order after payment has been received, we will generally refund the relevant amount through the original payment method.
This does not apply where otherwise permitted by law, including in cases involving false information, suspected fraud or unlawful conduct.
8. Payment
Payment methods available on this Website may include Visa, Mastercard, American Express, Apple Pay, bank transfer or other methods displayed at checkout.
Payments may be processed by independent third-party payment service providers.
You authorise us and the relevant payment provider to:
-
verify your payment information;
-
authorise, reserve or collect the order amount;
-
carry out reasonable identity and fraud prevention checks; and
-
process refunds through the original payment method.
The display of a payment method does not mean that the relevant card network or payment provider endorses or guarantees our Company or our goods.
You must not use unauthorised payment methods, initiate abusive chargebacks, request duplicate refunds or provide false information in relation to payment disputes.
Nothing in these Terms and Conditions affects your statutory right to dispute a genuinely disputed transaction with your card issuer.
9. Shipping and Delivery
Estimated processing times, shipping methods, shipping costs and delivery times are set out on the relevant product page, in our Shipping Policy or at checkout.
Any stated delivery times are estimates only.
Delays may occur due to customs inspections, carriers, weather events, public holidays or other circumstances beyond our reasonable control.
You must ensure that the recipient’s name, delivery address, telephone number and other shipping information are accurate and complete.
You may be responsible for delays, returns or additional costs resulting from incorrect or incomplete information supplied by you.
The point at which the risk of loss of or damage to goods passes to you shall be determined in accordance with mandatory applicable law, the shipping method and the actual delivery circumstances.
Nothing in these Terms and Conditions excludes any statutory consumer right that cannot lawfully be excluded.
10. Cancellation, Returns and Refunds
The conditions and time limits for cancellations, returns and refunds, together with the return address, processing times and categories of non-returnable products, are set out in our Return and Refund Policy published on this Website.
The Return and Refund Policy does not restrict any statutory consumer rights relating to goods that are incorrect, faulty, damaged, not as described or otherwise covered by applicable law.
For consumer transactions in Hong Kong, the Sale of Goods Ordinance and other legislation may require, among other things, that goods correspond with their description and are of satisfactory or merchantable quality as required by applicable law.
Consumer contracts may also be subject to the Control of Exemption Clauses Ordinance, the Supply of Services (Implied Terms) Ordinance and the Unconscionable Contracts Ordinance.
Further information may be available in Hong Kong Government guidance relating to consumer protection and online shopping.
Unless otherwise required by law:
-
refunds will generally be made through the original payment method;
-
we do not control the processing or crediting times of banks or payment service providers;
-
whether original shipping fees, duties and customs clearance fees are refundable will depend on the Return and Refund Policy and applicable law; and
-
you must contact us within a reasonable period after discovering damaged, missing or incorrectly supplied goods and provide your order number and any reasonably required evidence.
11. Promotions, Discount Codes and Gifts
Discount codes, price reductions, promotional gifts and other promotions may be subject to additional terms.
Unless otherwise stated on the relevant promotional page:
-
promotional benefits cannot be redeemed for cash;
-
different promotional benefits may not be combined;
-
promotional benefits may not be resold or obtained fraudulently;
-
promotional benefits are valid only during the stated period and for the stated regions, products and available stock; and
-
if a return means that the original promotional conditions are no longer satisfied, the refund may be recalculated on the basis of the amount actually paid.
We may cancel promotional benefits obtained through fraud, exploitation of system errors, automated programmes or breaches of the relevant promotional terms.
12. Permitted and Prohibited Use
You must not:
-
use the Website for unlawful, fraudulent purposes or in a way that infringes the rights of others;
-
gain unauthorised access to websites, servers, accounts or data;
-
distribute viruses or malicious software or carry out denial-of-service or similar attacks;
-
use bots, crawlers or automated tools to extract Website content on a large scale, except for ordinary search engine indexing;
-
interfere with Website, payment or security functions;
-
impersonate another person or provide false information;
-
infringe our intellectual property rights or those of any third party; or
-
use the Website for money laundering, payment fraud or any other unlawful transaction.
A breach of this section may result in your access being restricted or terminated and, where appropriate, may be reported to the relevant authorities.
13. User Content and Reviews
If you submit reviews, images, comments or other content, you confirm that:
-
you own the content or have all necessary rights to use it;
-
the content truthfully reflects your actual experience;
-
the content does not infringe any third party’s intellectual property rights, privacy rights, personality rights, reputation or other legal rights;
-
the content is not unlawful, threatening, hateful, fraudulent or obscene and does not contain malicious software; and
-
you have disclosed any material relationship with the relevant product, brand or our Company that could affect the independence of your review.
You grant us a non-exclusive, worldwide, royalty-free and sublicensable licence to store, reproduce, display, translate and distribute such content to the extent reasonably necessary for the operation, promotion and improvement of this Website and our goods.
This licence does not transfer ownership of your original content to us.
We may remove content where it is clearly unlawful, infringing, fraudulent or otherwise in breach of these Terms and Conditions.
14. Intellectual Property
The text, page design, graphics, logos, software, images, videos, product information and other content on this Website may be owned by us or licensed to us by third parties and may be protected by applicable copyright, trade mark and other intellectual property laws.
Unless permitted by law or authorised by us in writing, you must not copy, alter, sell, lease, publicly distribute, commercially exploit or create derivative works from Website content.
15. Third-Party Links and Services
This Website may contain links to third-party websites, tracking services, social networks or payment services.
Third-party services operate independently and are subject to their own terms and conditions and privacy policies.
To the extent permitted by law, we do not control their content, security or availability and are not responsible for the independent acts or omissions of such providers.
16. Website Availability
We take reasonable steps to maintain the proper operation of the Website.
However, we do not guarantee that the Website will at all times operate without interruption, delay or error.
We may temporarily restrict certain features for maintenance, security, updates, legal compliance or other legitimate reasons.
Where reasonably practicable, we will seek to minimise the impact of such measures on orders already concluded.
17. Disclaimers
To the extent permitted by applicable law, the Website is provided on an “as is” and “as available” basis.
However, nothing in these Terms and Conditions excludes or restricts:
-
liability for death or personal injury caused by our negligence;
-
liability for fraud or fraudulent misrepresentation;
-
mandatory rights relating to product quality, product description, title or consumer protection;
-
liability for wilful misconduct; or
-
any other liability that cannot lawfully be excluded or restricted.
General content on the Website is provided for information only and does not constitute medical, legal, financial or other professional advice.
Where goods or intended uses require professional assessment, you should obtain suitable qualified advice before purchase or use.
18. Limitation of Liability
To the extent permitted by law, we shall not be liable for indirect, incidental, special or consequential losses arising from use of this Website or the purchase of goods.
Such losses may include loss of profit, goodwill, business opportunity or data.
This limitation does not apply where such loss was expressly known to us when the contract was entered into, was reasonably foreseeable and applicable law does not permit such liability to be excluded.
For claims directly relating to a particular order, our total liability shall, to the extent permitted by law, generally be limited to the amount actually paid by you for that order.
These limitations do not apply to the matters listed in Section 17 and do not affect any mandatory consumer rights.
19. Indemnity
Where claims by third parties, losses or reasonable costs arise as a result of your deliberate unlawful conduct, fraudulent use of the Website, infringement of third-party rights or material breach of these Terms and Conditions, you shall be responsible for such matters to the extent permitted by law.
This provision does not require consumers to indemnify us for our own negligence, unlawful conduct or any other responsibility that we are legally required to bear.
20. Force Majeure
Neither party shall be liable for delay or failure to perform its obligations to the extent caused by events beyond its reasonable control.
Such events may include natural disasters, extreme weather conditions, war, civil unrest, epidemics, governmental restrictions, customs measures, serious cyberattacks, failures of public communications networks, disruption of transport networks or significant supply chain problems.
The affected party shall take reasonable steps to minimise the effects of such events.
Your statutory right to a refund for goods that are not delivered remains unaffected.
21. Personal Data
We process your personal data in accordance with the Privacy Policy published on this Website.
The Office of the Privacy Commissioner for Personal Data in Hong Kong states that Website operators should collect personal data lawfully and fairly and should only collect data that is necessary, appropriate and not excessive.
Where personal data is intended to be used for direct marketing, the prescribed information should generally be provided and the necessary consent obtained.
Silence does not constitute consent.
Users may object to direct marketing at any time.
The Privacy Policy should address at least the following matters:
-
categories of personal data collected;
-
purposes of collection and use;
-
cookies and similar technologies;
-
payment, shipping and other recipients of personal data;
-
cross-border transfers of personal data;
-
data retention periods;
-
data security measures;
-
rights of access and correction; and
-
consent and objection options relating to direct marketing.
22. Changes to These Terms and Conditions
We may update these Terms and Conditions as a result of changes in law or regulation, payment requirements, security measures or Website functionality.
The updated Terms and Conditions will be published on this Website together with the date of the latest revision.
Unless otherwise permitted by law, material changes will not apply retrospectively to orders already concluded before the changes took effect.
If you continue to use the Website after the revised Terms and Conditions take effect, you will be deemed to have accepted the updated version.
23. Notices
You agree that we may provide transaction-related notices to you through the email address supplied with your order, through your user account, through notices on the Website or by any other means permitted by law.
Electronic communications will be regarded as delivered when sent to the valid contact address supplied by you, unless applicable law requires another form of service.
24. Assignment
You may not assign or transfer your rights or obligations under these Terms and Conditions without our prior written consent.
We may assign or transfer these Terms and Conditions in connection with a restructuring, merger, sale of the business or continuation of the Website by an affiliated company.
Any such transfer shall not prejudice statutory consumer rights that have already arisen.
25. Severability and Waiver
If any provision of these Terms and Conditions is held to be invalid, unlawful or unenforceable, it shall be amended or removed to the minimum extent necessary.
The remaining provisions shall continue in full force and effect.
Any delay or failure by either party to exercise a right shall not constitute a waiver of that right.
26. Third-Party Rights
Unless expressly provided otherwise in these Terms and Conditions, no person who is not a party to the contract shall have the right to enforce any provision of these Terms and Conditions under Hong Kong’s Contracts (Rights of Third Parties) Ordinance (Cap. 623).
Any rights of third parties arising independently of that Ordinance remain unaffected.
27. Governing Law and Jurisdiction
These Terms and Conditions, your use of the Website and all orders and disputes between you and us shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
Subject to any mandatory consumer rights that apply, any dispute arising out of or in connection with these Terms and Conditions, the Website or an order shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
Where the mandatory consumer laws of your country or region provide rights that cannot lawfully be excluded by a choice-of-law or jurisdiction clause, those rights shall remain unaffected.
